User-Submitted Content and Website Inquiries

The Site may allow users to submit inquiries, requests for information, employment information, resumes, project information, or other communications. You are responsible for the information you submit and represent that you have the right to provide that information to ZAP.

Unless ZAP expressly agrees otherwise in writing, information submitted through the Site will not be considered confidential, privileged, proprietary, or subject to any professional duty of confidentiality. You should not submit sensitive, confidential, export-controlled, security-sensitive, proprietary, or legally privileged information through the Site.

Submission of an inquiry does not obligate ZAP to respond, provide services, accept an engagement, preserve submitted information, or refrain from working for another person or entity. ZAP may use information submitted through the Site to respond to inquiries, evaluate potential engagements, recruit personnel, administer the Site, and for other legitimate business purposes, subject to ZAP’s applicable privacy notice.

Intellectual Property Rights

“ZAP,” the ZAP name and logo, and other ZAP names, logos, slogans, service names, and design elements displayed on the Site may be trademarks or service marks of ZAP. Third-party company names, product names, project names, logos, and trademarks appearing on the Site are the property of their respective owners. Nothing contained on the Site grants, expressly or by implication, any license or right to use any trademark displayed on the Site without the prior written consent of its owner.

No Engineering or Other Professional Advice

The Site is provided solely for general informational purposes. Nothing contained on the Site constitutes engineering, architectural, construction-management, environmental, safety, legal, financial, or other professional advice.

Engineering and construction issues are inherently project-specific. Appropriate professional conclusions depend upon numerous factors that may include site conditions, design criteria, applicable codes and standards, contractual requirements, project specifications, operating conditions, regulatory requirements, available data, and other circumstances that cannot be evaluated through generalized website content. Engineering designs, evaluations, or consultations must be contracted and performed by a licensed professional engineer in accordance with applicable law.

You should not rely upon technical information, project descriptions, articles, illustrations, photographs, statements, calculations, examples, or other materials appearing on the Site as a substitute for an evaluation performed by qualified professionals with knowledge of the particular project and circumstances. Past project descriptions, results, capabilities, or experience described on the Site do not guarantee similar results on another project.

No Engineer-Client or Contractual Relationship

Your access to or use of the Site does not create an engineer-client, consultant-client, contractor-client, fiduciary, advisory, contractual, or other professional relationship between you and ZAP. Likewise, sending an email, submitting a contact form, requesting information, transmitting project materials, or otherwise communicating with ZAP through the Site does not create a professional-services relationship.

A professional-services relationship with ZAP may be established only through a written agreement or other written authorization executed or approved by an authorized representative of ZAP. Until such a relationship has been formally established, ZAP owes no professional duty arising from your access to the Site or from information submitted through it.

No Reliance on Technical Information

Technical information available through the Site may be generalized, abbreviated, illustrative, outdated, incomplete, or based upon assumptions applicable to a particular project. You should not use Site information to make engineering, design, construction, operational, procurement, safety, maintenance, regulatory, permitting, or investment decisions without obtaining an appropriate project-specific evaluation.

ZAP disclaims responsibility for decisions, actions, omissions, designs, specifications, calculations, construction methods, or other activities undertaken in reliance upon information appearing on the Site.

Limitation of Liability

Project Information, Photographs, and Client References

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles.

To the fullest extent permitted by law, any action or proceeding arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Jefferson County, Colorado, and you consent to the personal jurisdiction and venue of those courts.

Changes to These Terms

ZAP may revise these Terms from time to time. Updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site following publication of revised Terms constitutes acceptance of the revised Terms. You are encouraged to review these Terms periodically.

Severability and Waiver

ZAP’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or of ZAP’s right to enforce it subsequently.

Entire Agreement

These Terms constitute the agreement between you and ZAP concerning use of the Site and supersede prior or contemporaneous representations or agreements relating specifically to Site use.

These Terms do not modify or supersede any separate written professional-services, construction, consulting, employment, confidentiality, or other agreement between ZAP and another party. If there is a conflict between these Terms and a separately executed agreement between ZAP and you concerning professional services, the separately executed agreement will control with respect to the subject matter of that agreement.
